JUNE 17, 2002
An Agenda Meeting of the Township Council of the Township of Old Bridge was held on Monday evening at in the Old Bridge Rotary Senior building located at 100 Ticetown Road, Old Bridge. President Butler called the meeting to order at 8:00 p.m., and asked all present to salute the flag, which was followed by a short prayer.
Deputy Clerk Stella Ward called the roll call with the following answering present:
Councilmen Baker, Calogera, Greene, Redmond, Testino, Councilwoman Panos, President Butler. Councilmen Hoff and Maher were absent.
President Butler: Ladies and gentlemen I just want to say that we are happy to be here. Largely due to Councilman Testino who wanted to take these meetings "on the road" to different parts of the Township, you are our second stop and we want to be able to give you some input and address your questions and concerns. I will introduce your councilman, Kevin Calogera, who will then introduce the other council members.
Councilman Calogera: It is a pleasure to be here and I know that you have a lot of concerns about the building and other things in the area that might affect you, so we heard you and we will address these matters. Also, Assemblyman Sam Thompson is here this evening and he will give you an update on the Rotary Housing Senior building issue.

Assemblyman Sam Thompson
Mr. Thompson: It is a pleasure being here this evening. I not only represent you in the Assembly, but I live here in Old Bridge just a short distance from this complex. My office is on Rt. 34, so anytime you need help, I am there for you.
I did receive a number of letters from residents and their relatives related to what is going on here so subsequently, I have been in contact with the attorneys representing the Rotary, the attorneys representing Mr. Kline, and the New Jersey Housing Mortgage Finance Administration To tell you where things stand, first let me review the history of things. When the plans were developed to construct this facility, the N.J. Housing Mortgage Finance Administration, put together a syndication to finance it. The syndication included a general partner, Mr. Kline, and a number of limited partners. Recently, Mr. Kline has announced his intentions and desire to purchase the facility and operate it. The Rotary indicated that according to the contract, in their opinion, that they would have the right to purchase the facility for 85% of the offer, if such a thing were to take place. Mr. Kline disagreed and felt that since he was a partner, that it did not apply to him, but only to third parties. This matter was taken to the Superior Court, who concurred with Mr. Kline that being a partner he did not have to let the Rotary purchase it for 85% of the offer. The Rotary has filed an appeal of the ruling, so that is at the Appellate Division at the present time. Whether or not the Appellate Division will agree to hear it is unknown and in fact they may well want to wait until all issues are resolved because there is another related motion that is due to come to trial in early August. That matter relates to the property that is adjacent to this property. We do not know how they will rule.
There has been a great deal of concern expressed by some that Section 8 housing might be removed if Mr. Kline purchased the property. In talking with the NJ Housing Mortgage Finance Administration they indicate that for him to purchase the property would require HUD approval. There was a question that if he purchased the property and paid off the mortgage could he eliminate Section 8 housing? To pay off the mortgage he would not need HUD approval, but even if he did he could not eliminate Section 8 housing until the original mortgage had expired which would be in the year 2013. Additionally, in speaking with Mr. Kline's attorney, he indicated that he currently runs quite a few facilities that have Section 8 housing. At my request, the attorney faxed this letter to me today, which I will read to you.
"Dear Assemblyman Thompson - The Old Bridge Associates Limited , as you know this office represents Donald Kline, who has obtained a court order to purchase the assets of Old Bridge Associated Limited, an entity which he formed and which he has been a general partner for nearly 20 years. Old Bridge Associates, and the present owner and sponsor of the Old Bridge Rotary Senior Housing project in Old Bridge New Jersey. This will confirm our telephone discussions during which I represented to you that it was Mr. Kline's intent to continue the aforesaid housing project as assisted, subsidized housing under Section 8. This will also confirm the matter pending appellate review."
So as far as losing your Section 8 housing, that is not going to happen, that is what we can tell you as of today. Meanwhile the legal battle as to whether or not they can or cannot purchase will be going on for awhile and I will keep you updated.
(Mr. Thompson asked for questions from the audience)
Resident: What happens in the year 2013?
Mr. Thompson: That question I cannot answer. According to Mr. Kline's attorney it is his intent to keep it a Section 8 housing facility.
Resident: There are various services that are currently being provided to us, such as cleaning, et cetera, would these services be continued if Mr. Kline took over? We do pay for them at a reduced rate, would that continue?
Mr. Thompson: I don't see why it should not continue since you do pay for it.
Resident: Can you tell us about the adjoining property?
Mr. Thompson: That is the other court case that comes up in August, as to whether or not he can build on that property. I did not get into any real discussion with the attorneys on this issue I was more concerned about the issue here at the Rotary.
Resident: Who owns the adjoining property?
Mr. Thompson: I believe it belongs to the syndication or the same group.
Resident: What is a syndicate?
Mr. Thompson: They are a group consisting of a general partner and a group of limited partners, who all the limited partners are I do not know, but I assume the Rotary is part of the group.
Councilman Testino: We have Phil Horowitz here tonight and he can explain it better. He is one of the members on the Rotary Senior Housing Corporation.
Phil Horowitz: The syndicate was organized by Don Kline. It is a system whereby a number of investors from across the United States pool money to purchase properties. Mr. Kline has bought out most of the members of the syndicate so he can take over the building. I am not at liberty to discuss this because we are in litigation and we are instructed not to say much. I can tell you that the piece of land that we own behind this building, was awarded to us by Mr. Kline and he sent us a letter stating same, and then he went to the judge and said that he never said that.
This is the type of person that we are fighting and I will tell you that the Rotary Club will do everything they can and this fight may go on for quite a few years, but we will fight as hard as we can and I think we are going to win.
Resident: What about management?
Phil Horowitz: Management is staying exactly the way it is right now, no changes.
Resident: Can we as tenants do anything to show our support?
Phil Horowitz: I think that you all have done a good job. You sent letters, you let the Council know, you have let your local politicians know exactly how you feel. The more input you give the better it is.
President Butler: I would now like to open the meeting to general questions or comments that you might want to ask the Mayor or the Council members. If you do not have any questions, then we will continue with the regular portion of our meeting.

ORD. #24-02 Vacation of surplus portion of Disbrow Road
Councilman Redmond: Councilman Testino had some questions on this. I just want to make sure that all his questions are answered.
Engineer Vincenti: He just wanted to add one condition that the surplus land going to the homeowners association will be responsible for their driveway portion.
Councilman Testino: Mr. Vincenti answered all my questions. There is a section of the roadway that goes into the Knolls Homeowner's Association and this should also be under their jurisdiction.
Engineer Vincenti: I believe that we will make that a stipulation of the vacation also. It is my understanding that they have agreed to this also.
Councilman Testino: If that is the case, I have no problem with it.

Councilman Redmond: Who gets the $100.00?
Alayne Shepler: It goes to the Township General Fund.
FR-2 Ordinance to vacate a portion of Spring Valley Road from Marlboro Road to Rt. 18.
Councilman Greene: This about the fourth time this has been put on the Agenda and I would like to do talk about this publicly at next Monday's meeting. I know that our policy has been that when we have a first reading that we don't address the matter till we have a second reading, but I think because this is in Ward 5, and because it is an important item I would like to have the ability to discuss it as well get some comments from my colleagues to address this next Monday night.
Councilman Testino: I believe Mr. Calogera had some questions and I want to know if he had them answered.
Councilman Calogera: I did, but I still have questions as to the importance of the property that we traded off for, when we did the Spring Valley vacation. I am trying to locate the property we received. I don't think it is part of Rose Farm or any part of the proposed golf course.
President Butler: Mr. Greene you requested information from the EDC, did you get it?
Councilman Greene: I received a summary and I believe it is sufficient.

Councilman Testino: They originally asked for two years then the Council indicated that it might work better with three rotating terms instead of every other year. I was hoping to get something back from the Rec. Board saying what they prefer to have it. Has the Rec. Board addressed this?
Tom Badcock: They did not hear about three year.
Councilman Testino: I say hold it one more cycle until they make a recommendation on it and then put it up for first reading.
DISCUSSION ORDINANCE
DO-1 Ordinance decreasing the members of Public Parking & Transportation Utility Advisory Committee from nine (9) members to (5) members. The committee shall be decreased through the elimination of four (4) members appointed by the Township Council.
Councilman Redmond: I did this at the request of some of the members. Subsequently, I have talked with Barbara York and she requested that we make that number seven (7). They were having trouble getting a quorum. Some of the new members have been better in their attendance and she asked to change it to seven so that they only need four (4) members for a quorum and they can do that. I ask that we take their recommendation into consideration.

DO-2 Ordinance authorizing Tax Abatement for block 3234 Lots 4.026 and 4.028 - Metro Park South project in Parkway Abatement Zone.
Attorney Ruggierio: This is the beautiful building down by the parkway entrance. This building is in our parkway maintenance zone and was promised an abatement if it met all the criteria in our general ordinance, i.e., computer and technology dedication and they have met those requirements.

DO-3 Ordinance to amend Rent Stabilization Ordinance 11A-2, CXI-A percentage increase from 2% to 4% annually. (Provisions for seniors to be frozen at 2% increase.
Councilwoman Panos: What about the handicapped or people who are disability?
Councilman Redmond: Before we move this up I would like to see more information because there are many people of limited means and they need to have rentals available to them that are within their means. Who is recommending that we increase it to 4%?
President Butler: The Fair Rent Committee is recommending this increase.
Councilman Redmond: Do we have some sort of criteria that we can compare this 2% vs. 4% increase to. I have no problem moving on this if the Fair Rent Committee thinks this is a fair number, but I think we need to look out for other people who are on fixed income as Mrs. Panos said not just seniors, there has to be an income criteria of some sort.
Mayor Cannon: I really question this recommendation. Last year it was a 3% increase and we were upset with that number and the Council changed it back to 2% . Just to say 4% carte blanche is not sufficient. We need to see the back-up and documentation as to how they arrived at this number.
Councilman Calogera: I think that even the 2% increase on seniors is unjustified. Sometimes we don't have inflation which dictates the 2%, so I would like to know why the Rent Stabilization feels that a 2% increase is necessary and that it should be automatic.
Councilman Redmond: What is the social security increase each year?
Councilman Calogera: 2 ½% is the usual increase.

Motion to table this ordinance until more information is received and the Fair Housing Committee comes before the Council to discuss this matter made by Councilman Redmond, seconded by Councilman Calogera and so moved on the following roll call vote:

WHEREAS, it has become necessary to expend for various purposes which are specified in the budget, an amount in excess of the respective sums appropriated therefore; and
WHEREAS, there is an excess in certain other appropriations which are specified in the budget which are legally available for transfer; and
WHEREAS, under the provisions of R.S. 40A:4-58, during the last two months of the fiscal year, the Governing Body has the authority to transfer the amount of such appropriations as may be deemed to be in excess to such appropriations as they may require it.

RESOLUTION OF INTENT TO DENY TAX ABATEMENT FOR OLD BRIDGE ROTARY SENIOR HOUSING BUILDING IN THE EVENT THAT OLD BRIDGE ROTARY SENIOR HOUSING, INC. CEASES TO BE OPERATOR AND PART OWNER OF THAT HOUSING PROJECT.
WHEREAS, the Rotary Senior Housing Building at 100 Ticetown Road, operated by Old Bridge Senior Housing, Inc., has served a vital need in the Township of Old Bridge by providing affordable housing in the Township of Old Bridge for many years;
WHEREAS, by Resolution dated May 17, 2002, the Township of Old Bridge indicated its support for the continued operation of the Rotary Senior Housing Building as non-profit housing by the Old Bridge Rotary Senior Housing Inc.;
WHEREAS, in a Tax Abatement Agreement dated July 10, 1980, the Township of Old Bridge recognized and approved Old Bridge rotary Senior Housing, Inc. as the sponsor, owner and operator of the Rotary Senior Housing Building and agreed to accept payments in lieu of real property taxes from Old Bridge Senior Housing, Inc. pursuant to the Housing Finance Agency Law, N.J.S.A. 55:14J-1 et. seq. (now repealed); and
WHEREAS, the Township of Old Bridge wishes to indicate its ongoing support for the continued operation and ownership of the Rotary Senior Housing Building by Old Bridge rotary Senior Housing, Inc., the nonprofit corporation which served as sponsor of that project, has operated that project for over 20 years and continues to operate that project;
THEREFORE, BE IT RESOLVED by the Township Council of the Township of Old Bridge, that in the event that Old Bridge Rotary Senior Housing Inc. is removed or replaced as the operator and part owner of the Rotary Senior Housing building, the Township of Old Bridge will not continue to exempt the Rotary Senior Housing Building property from taxation, nor will it afford tax abatement to the Rotary Senior Housing Building property pursuant to N.J.S.A. 55:14K-37 and any other applicable law, and it will consider the Tax Abatement Agreement to be null and void.
BE IT FURTHER RESOLVED, that a copy of this resolution be sent to Governor James McGreevey, Senator Joseph M. Kyrillos, Jr., Assemblyman Joseph Azzolina, Assemblyman Sam Thompson, and C. Sean Closkey, Executive director of the New Jersey Housing and Mortgage Finance Agency.

Prior to the roll call vote the following discussion took place:
Councilman Testino: I am sponsoring a resolution and I know that the legal department would like to comment on it. However, I want my colleagues to know how strongly I felt about the continuation of the current management and the support for the seniors. I know that this a strong resolution, but if we have to send a strong message so be it. We want them to know that we will not put our seniors in jeopardy. I know that the president of Rotary Senior Housing is here, Mr. Guliano who will address your questions.
Mr. Guiliano: This resolution will definitely be helpful to us and ensure that we continue to serve you the way we have. We are tied up in litigation and hopefully this will help us pave the way to a final settlement of this matter.
Attorney Ruggierio: I don't want you to consider this statement as non-support for you. However, as the Township's attorney, I have to look out for tax dollars in terms in mis-step we might take that would cost the town money. I will give you my initial impressions and why I am concerned about Council adopting this resolution. I had a long discussion and it was a very helpful discussion with Rich Berne of the Wilentz Firm. He gave me a lot of information about this litigation and it is clear to me and Assemblyman Thompson gave you a good sense of where we are now. This litigation is going to go on for a long time in connection with these issues. There are hurdles to overcome before Mr. Kline can be successful in what he is trying to do. My concern about passing this resolution tonight we will be telegraphing our point of view by formal vote of the Township Council. As much as I know that everyone is very anxious to want to vote for this resolution, I think that we should take a further look at it before we take any action.
President Butler: So you are telling us that we should not act on it this evening and you will take a further look at it between now and next Monday?
Attorney Ruggierio: We have a lot of people here this evening who are interested in this matter, and I don't want to tell you that I will review it and give you an answer next Monday because my sense is that it is not a good thing for us to do now. There are things that we can do in the future that will be very helpful in pursuing the interests of everyone here, but to take an action at this point may hurt us in the future and I hope that everyone understands why I make these comments.
Councilwoman Panos: I want to say something, my mother lives in one of these places so I can understand where you are coming from, but I have to go with the Township attorney and let's hold our horses a little bit and make sure that we have all our information and not interfere in the current litigation that may end up hurting us. When the time is right we can go ahead with something like this, it is a good idea, but we should just wait a little bit, so I would like to table this.

Resident: Can someone tell us how long this matter has been going on?
Mr. Guliano: It has been going on for a couple of years, but I did not hear about it until recently and the residents of the building notified me. This particular part of the lawsuit is something new. Mr. Kline has been actively trying to do something with the project and it was just recently that he has taken the steps to bring it to this point. I think it is very important that the town gets behind this and act on this resolution because we need the support of the town. So I ask the Council to consider voting on this resolution tonight.
Councilman Testino: I want to address the points on telegraphing our moves. I don't have a problem with telegraphing the fact that we are supporting the Senior Housing or the current status quo of the building. So if that is the only concern I don't have a problem with it. If they want to drag us into litigation, I would say to the town Council, "get your gloves on we are going to war." If you are saying we need more time and you have to look at the ramifications I understand that, but I want to be aggressive stand and let everyone know what we want to do to keep the status-quo.
Resident: What happens if we went to the media?
President Butler: The media is here tonight.
Resident: I am talking about Channel 7, Channel 12, Channel 4 et cetera.
Councilman Calogera: You have freedom of speech, that is what this country is all about and you can do anything you want.
Resident: I don't want to get anyone in trouble or jeopardize anything. Do we have permission to do this?
Councilman Calogera: You don't need permission.
Attorney Ruggierio: Any person has their first amendment right to comment on matters of public interest. The only restriction on that is sometimes you have to be careful of what you say so that you do not slander or libel somebody. As long as it is a matter of public debate like this is, you are well protected against libel and slander. I just would say be judicious in what you say and think before you say it.
Resident: It is not fair, we have a good crew here and why do we have to suffer. You tell us what to do and we will do it. I am mad and this is the first time that I am speaking out and I want to help anyway I can.
Councilman Calogera: I think that you should say what you want to say. When you have it ready, if you want you can pass it by someone, we probably can get a lawyer to look it over and make sure that you won't be libel.
DISCUSSION
D-1 Renaming the municipal complex in honor of the late Mary M. Brown.
President Butler: Mr. Hoff is not here so we will have to take this up with him on Monday night.
D-2 Update from Council Committee on status of Negotiations with Perth Amboy (Mannino Park).
Mayor Cannon: There was a Council Committee formed and they were supposed to be in contact with Mayor Vas of Perth Amboy.
Councilman Redmond: The County is in the process of acquiring all of the development rights for this land and that will include that land on Rt. 516. As of now, they are doing all the studies to come up with a price. Then we will probably be dealing with the County instead of Mayor Vas. I was speaking with the County two days ago because I was concerned about the little league fields and the access to Mannino Park. When I called, that is the answer I was given that as soon as they have a price they will advise us. I don't know if Mayor Vas can negotiate separately on this piece of property.
Mayor Cannon: Do we have a time table on this?
Councilman Redmond: The timetable for the County is pretty quick because it is my understanding that Mayor Vas needs the money for his waterfront project, so he wants to see it move as quickly as possible I will certainly call tomorrow and see if I can find out where we are at now.
Councilman Greene: I just wanted to say that I spoke with the Business Administrator and the response from him was very positive. I think it would be a mistake to tie this 600x600 small piece of property on Owens Road to the overall purchase by the County because I don't know how long that will take. I think that we should negotiate separately from the ball fields because they do have a lease with Perth Amboy and this is just a small piece of property and I think that it is something that we should definitely pursue outside of all the other negotiations that may be going on and I will be more than happy to work with Mr. Redmond on this.
D-3 Replace "No Turn on Red" sign on the northwest corner of Red Oak and Route 516.
Councilman Calogera: I think that we should replace this sign that was removed when renovations and improvements were made at that intersection. There is a problem with pedestrians because there are people from Glenwood that cannot cross the street because when the light is red cars can still turn and pedestrian traffic cannot cross the street.
