COMBINED MEETING
June 14, 2004
A Combined meeting of the Township Council of the Township of Old Bridge was held on June 14, 2004 in the Municipal Complex. The meeting was called to order by President Baker who asked all present to participate in a salute to the flag which was followed by a short prayer.
Deputy Clerk Stella Ward announced that this meeting is being held in conformance with the open public meetings act, notice has been given to the newspaper and notice of the meeting has been posted in public places.
Roll call at 7:30 p.m. by Deputy Clerk Stella Ward, showed the following members present: Councilmen Calogera, Maher, Volkert, Councilwoman Panos, President Baker. Councilmen Butler, Gillespie, Greene and Testino arrived late.
President Baker asked for a moment of silence for the troops serving in the Persian Gulf.

Report of the Attorney
Attorney Convery: I received a copy of the proposed consent order with regard to the Old Bridge Township vs. Woodland Trails, Inc. This case is being handled for us by Timothy O'Neil, Esq. Mr. O'Neil has approved this and he has sent it to Richard Driver, Esq; the attorney for Woodland Trails. There is a mutual release between the parties, which I anticipate to be signed by both sides. I expect the Judge to sign this order shortly to conclude the case. We are awaiting signed releases from Cedar Ridge Homeowners Association. By the next meeting we should have concluded this litigation.

Preliminary Public Comments
Attorney Convery reads the following statement: Public Portion: During the Public Portion of the meeting, taxpayers or residents of the Township or their authorized legal representatives may address the Council on any matter over which the Council has jurisdiction provided that preference shall be given to those persons who may have notified the Clerk in advance, within the time limited for the preparation of the agenda, of their desire to address the Council and the subject matter to be discussed. The Chairperson of the meeting may invoke reasonable limitation on public debate.
Mr. Mahonrry Hildalgo: I am from Freehold and we wish to file an ethics complaint against Councilman Maher. We are going to wait on this because Mr. Maher has agreed to pay the workers that he has been passing bad checks to. If we are able to secure the monies, we will not pursue the ethics complaint. I also want to alert the governing body that one of the workers went to the Old Bridge police department a month ago and showed them the bounced checks…
Attorney Convery: I am going to interrupt to tell you that I just read to the public that you can address the council on any matter over which the council has jurisdiction. If the township gave you a bad check, or you have a complaint of township finances, then I think everyone would be anxious to listen to you. If you are complaining about someone's actions, in their own personal business, this council has no jurisdiction. You also said whatever your intention was to sign a complaint against Councilman Maher, is no longer. Is that correct?
Mr. Hildalgo: Yes.
Attorney Convery: I would the say to the President that there is no subject matter to which the council has jurisdiction.
Mr. Hildalgo: I am now talking about the police department who saw the checks and said they could not help us because Mr. Maher works here. I do not have the name of the police officer who told the worker that he was not going to get help from the police.
Attorney Convery: I would suggest that you go to the police chief, who will look into this. As far as talking about anyone who may work for the town in their personal business, is not warranted before this council.
Mr. Frank Freyer: I am from the Latino Leadership Alliance of New Jersey. We believe that the ethical behavior and the lack of one your members is an issue that should be brought to the council's attention.
President Baker: Why are you here this evening?
Mr. Freyer: Mr. Maher passed a series of eight checks that bounced to Latino workers and his practices are quite exploitive.
Attorney Convery: I am going to interrupt. You are not talking about township checks, this a private business. Is that true?
Mr. Freyer: I am speaking about CTS – but I believe that the ethical behavior of the councilman is appropriate before this council.
Attorney Convery: Is there an ethic's complaint pending before this council regarding Mr. Maher?
Mr. Freyer: We have every intention of filing one. I am here to alert you of that.
Attorney Convery: When do you intend to file?
Mr. Freyer: Within the week.
Attorney Convery: Once this is filed, the council may have jurisdiction over this matter, until then the council has no jurisdiction over this matter. We understand that you have put us on notice as to what you intend.
Carol Gay: I am the Vice-president of the NJ Industrial Union Council and I am here in support of the day laborer committee. I hope that this council will take into consideration and be willing to investigate and expose any unethical practices of your members. I hope that we will not have to be back here.
Mr. Rao: I would like the mayor and council to do something about the school taxes. If you vote for the school budget, the property taxes go up. I would like you to stop voting for the school budget.
President Baker: The mayor's position on this is well documented. You may document your questions in writing to the Mayor and he will respond.
ORDINANCE FOR SECOND READING
TOWNSHIP OF OLD BRIDGE ORDINANCE NO. 14-04
ORDINANCE AMENDING CHAPTER 7, SECTION 7-3(G)(3), “GENERAL ZONE BULK REQUIREMENTS”, “PERMITTED SINGS IN OFFICE DISTRICT”, OF THE LAND DEVELOPMENT ORDINANCE, OF THE CODE OF THE TOWNSHIP OF OLD BRIDGE.
SECTION 1. PURPOSE OF ORDINANCE:
This Ordinance is adopted for the primary purpose of amending Chapter 7, Section 7-3(G)(3), entitled “Permitted Signs in Office District”, of the Land Development Ordinance, of the Code of the Township of Old Bridge as follows:
Section 7-3(G) entitled – “Signs”
Insert new section 7-3(G)(3) as follows:
3. Permitted Signs in Office Districts
The following signs are authorized in conjunction with permitted and prior non-conforming office uses:
a. One (1) facia sign placed or inscribed upon the front wall of a building containing only the name of the building and or the type of use therein and the street address and not other advertising material. Such sign shall not exceed an area equal to ten percent (10%) of the façade of the building.
b. Office buildings with a maximum if three (3) occupants may have: One (1) freestanding sign not to exceed the height of the principal building in the complex or eighteen (18) feet, whichever is the lesser and not to exceed fifty (50) square feet in area and subject to the following criteria: each occupant may be permitted a maximum of ten (10) square feet of sign space. The masthead portion of the sign shall not exceed twenty (20) square feet. Company logotypes must fit within the allowed square footage of sign space.
c. Office buildings with a single occupant may use the signage permitted.
d. Office buildings with more than three (3) up to a maximum of ten (10) occupants may have:
One (1) freestanding sign not to exceed the height of the principal building in the complex of twenty (20) feet, whichever is the lesser and not to exceed on hundred twenty (120) square feet in area and subject to the following criteria:
(1) each occupant shall have, not less than ten (10) square feet nor more than fifteen (15) square feet of sign space.
(2) The masthead portion of the sign shall not exceed twenty (20) square feet. Company logotypes must fit within the allowed square footage of sign space.
(3) Masthead portion of sign may include time and temperature displays.
(4) Masthead portion of sign may include the name of the building and street address.
e. If the building is located on a corner lot a second freestanding sign indirectly illuminated, may be erected provided that the area of the second sign does not exceed one-half (1/2) of the area and one-half (1/2) of the height of the primary sign erected on the major street.
f. At each entrance to the building, one (1) directory sign attached to the building and listing the occupants therein. Such sign shall not exceed eight (8) square feet in area.
SECTION 2: INCONSISTENT ORDINANCES
All Ordinances or parts of Ordinances inconsistent with or in conflict with this Ordinance are hereby repeated to the extent of such inconsistency.
SECTION 3: PARTIAL INVALIDITY
If any section, paragraph, clause or provision of this Ordinance shall be adjudged invalid, such adjudication shall apply only to the section, paragraph, clause or provision so adjudged and the remainder shall be deemed valid and effective.
SECTION 4: EFFECTIVE DATE
A. Except as set forth at subparagraphs B and C hereof, this Ordinance shall take effect on the earlier of the following dates: (1) on the date the Mayor affixes his/her signature thereto and returns same to the Municipal Council by delivering it to the Municipal Clerk pursuant to NJSA40A:69A-41 or (2) on the tenth day following presentment to the Mayor of the Ordinance pursuant to NJSA 40:69A041 applicable when the Mayor has failed to return the Ordinance; whichever occurs first.
B. If the Mayor vetoes and the Ordinance (in the manner set forth at nJSA40:69(A-41), this Ordinance shall become effective upon the Township Council's vote to override the Mayor's veto.
C. Notwithstanding any other provision hereof, this Ordinance shall not take effect less than twenty (20) days after its final passage by the Council and approval by the Mayor, which such approval is required, unless the Council shall have also adopted a resolution declaring an emergency and at least two thirds (2/3) of all the members of the Council vote in favor of such resolution.

President Baker opened the public portion.
Ms. Seiler: I was in the clerk's office this afternoon and this ordinance was not posted on the bulletin board, so how can you have a second reading?
Attorney Convery: The law is that it has to be advertised and also that we have to advise the public that this in on for second reading. I will ask the clerk has that been done?
Deputy Clerk Ward: It was advertised.
Attorney Convery: Was is clearly indicated on the agenda and was the agenda posted on the board?
Ms. Seiler: There was an agenda on the board, but when I went in at 3:00 and asked for a copy of the agenda I was told that I couldn't have one because the agenda wasn't finalized. If the agenda isn't finalized enough for me to have a copy, how could I have enough time to be familiar with the items. I think that besides the newspaper, the ordinance needs to be posted in a public place. I think that is the law.
President Baker: I will have the clerk respond.
Deputy Clerk Ward: The agenda that was posted on the bulletin board was the finalized agenda, you couldn't have a copy because the copies weren't printed yet. The one on the bulletin board was the only one that was available at that time.
Ms. Seiler: That is not what I was told.
Deputy Clerk Ward: I don't know the words that you were told because I didn't tell you those words, that fact remains that if the agenda is on the board, that is the final agenda as we know it at that moment. The agenda that was on the board was a white agenda, and the final one on the back wall is pink, they were not printed up yet.
Ms. Seiler: I did see the pink copies in mailboxes and I was told that they were not available.
Deputy Clerk Ward: I didn't have them.
President Baker: If you have a problem in the future getting an agenda come to me or the mayor.
Councilman Calogera: Was the ordinance posted where the resident could read it? It just being listed on the agenda is useless. Does the ordinance have to be posted?
President Baker: This is for second reading only, the clerk has advised me that all the procedures were followed.
Councilman Calogera: Does the ordinance have to be available to the public, other than just being listed on the agenda?
Attorney Convery: Once the ordinance is on for first reading and introduced it is advertised in the paper, it is on file at the clerk's office. The clerk's office is a public office. I cannot comment on the factual dispute over what was said. If the clerk indicated that this was on file and it was published, I see no reason to believe that the state law has not been followed.
Councilman Calogera: Nothing was mentioned about the ordinance, doesn't that have to be made available to the public?
Attorney Convery: An ordinance for second reading would be on file and would be available for inspection.
Councilman Calogera: Was the ordinance offered to this woman? Did you ask for it?
Ms. Seiler: No.
Councilman Calogera: I want to make sure that this woman is taken care of.
Councilwoman Panos: I would like to educate the public and let them know that all they have to do is ask for a copy of the ordinance. Is this correct?
Attorney Convery: Yes.
Mr. Valentino: The ordinance or the agenda was not posted on the internet. Why not?
Deputy Clerk Ward: The agenda was put on the internet on Friday.
Mr. Valentino: Mr. Convery stated earlier that the public can speak by either signing the list or they can speak with out having to sign up.
Attorney Convery: The agenda states a number of times where the public has a right to speak. There is the sign in sheet, the consent agenda, second reading ordinances, and the last portion on any subject matter.
Councilman Gillespie: I would like everyone to support this ordinance, it is a basic ordinance on signs for businesses.
Seeing no hands President Baker closed the public portion.
BID OPENING – 8:00 P.M. - NEW PLENARY RETAIL DISTRIBUTION LICENSE
Deputy Clerk Ward: On January 14, 2004 the township received two bids for a retail distribution license. The license is for a new store to sell alcoholic beverages in original containers and not for consumption at the licensed premises. Both of the two bids received indicated site premises to be determined. A resolution of the council will be adopted in approximately three weeks accepting the highest bid. However, the highest bidder will be subject to an official background check before final issuances of the license to ensure that it is qualified. Since there is no sited premises, active use of this license must take place within the timeframe and regulations stated within the bid contract.
President Baker: We will open the bids now.
Deputy Clerk Ward: The first bid is from John Bone with a total bid amount of $286,000.00. The second bid is from John Brunetti with a bid amount of $251,000.00.
President Baker: These are certified checks.
Attorney Convery: That concludes the bid opening and there will be a back ground check and action at a future date.

ORDINANCE MAKING THE PROVISIONS OF SUBTITLE ONE OF TITLE 39 WITH VARIOUS TRAFFIC REGULATIONS APPLICABLE TO JAKE BROWN PLAZA AND REGULATING THE USE OF SAID ROADWAYS, STREET, DRIVEWAY AND PARKING LOTS BY MOTOR VEHICLES
BE IT ORDAINED by the Township of Old Bridge, County of Middlesex, State of New Jersey that Jonathan M. Heilbrunn, at attorney representing the property owner, has filed a written consent with the Township of Old Bridge that the provisions of Subtitle One of Title 39 of the revised statutes of New Jersey be made applicable to the semi-public roads, streets, driveways and parking lots at Jake Brown Plaza located in the Township of Old Bridge, County of Middlesex, State of New Jersey and the following regulations shall be enforceable:

BE IT ORDAINED by the Township Council of the Township of Old Bridge, County of Middlesex, State of New Jersey that the Code of the Township of Old Bridge, Chapter XI, Building and Housing Section 11-1.4 of the Revised General Ordinances (R.G.O.) shall be amended and supplemented as herein below set forth:
A. Building Sub Code Fees
1. For new construction and additional the fees shall be calculated (by cubic feet) for the building or structure based on the following Use Groups:

AN ORDINANCE OF THE TOWNSHIP OF OLD BRIDGE AUTHORIZING THE SALE OF CERTAIN PROPERTY OWNED BY THE TOWNSHIP OF OLD BRIDGE NO LONGER NEEDED FOR PUBLIC USE AND SETTING THE TERMS AND CONDITIONS OF SUCH SALE
BE IT ORDAINED by the Township Council of the Township of Old Bridge, County of Middlesex, State of New Jersey, as follows:
SECTION 1: PURPOSE
The Township of Old Bridge is the apparent owner to certain properties known as Block 1003, Lot 40, Block 2000.19, Lots 1-3,10-13 and 41-42, Block 2000.23, Lots 23-24,53-56, 29-35, Block 2000.24, Lots 15-17, Block 2000.25, Lots 20-23, Block 13004, Lots 2.12, 2.13, 3.11, 3.12, 3.13, 3.14, 3.15, Block 13005, Lots 30-31, 59, on the Tax Map of Old Bridge. SECTION 3: NOTICE OF SALE
The Township Clerk shall cause the Notice of Sale and Public Notice to be provided in accordance with the statute.
SECTION 4: OTHER TERMS AND CONDITIONS OF SALE
1. The Township of Old Bridge makes no warranty concerning the marketability or the insurability of title to the said parcel. In the event title of the Township of Old Bridge to the said parcel, or portion thereof, is not marketable or insurable at regular rates by a reputable title insurance company licensed to do business in the State of New Jersey, a successful bidder's sole remedy shall be the right to demand the return of any deposit paid to the Township of Old Bridge.
2. At least fifteen (15) days prior to the date of settlement, the successful bidder will provide the Township Attorney with the following:
a) Preliminary report of title with legal description; and b) Current survey.
3. At least ten (10%) percent of the minimum sales price shall accompany bid, which may be by personal check. The balance of the bid price or purchase price shall be cash, certified or official bank check, payable at the time of transfer of title, but in no event later than thirty (30) days after the date of the land sale; except, in the event that the Township Attorney certifies to the Township that questions of title exist, in which event, payment shall be made within ninety (90) days after the date of land sale, unless further extended by resolution of the Township Council.
4. In the event a successful bidder shall fail to pay the balance as herein provided, the payment made at the time of sale shall be retained by the Township as liquidated damages for the non-performance of said bidder. The Township shall be entitled to rescind the prior bid approval and terminate any and all rights of the designated bidder in said property.
5. The Township reserves the right to reject any and all bids, including the highest bid.
6. The purchaser shall be responsible for terminating any and all existing tenancies.
7. The form of conveyance of said land by the Township shall be a standard form of Quit Claim Deed. The successful bidder shall notify the Township Attorney in writing of any specific request for designation of grantees in said Deed.
8. All sales and conveyances shall be subject to all covenants, conditions, encumbrances, easements, and restrictions, whether of record or not, as well as subject to all presently existing municipal rules, regulations, and ordinances, including the Zoning Ordinance and amendments hereto of the Township of Old Bridge. The sale of any parcel shall in no way bind the Township to provide access or to improve presently existing accesses, whether there be public roads or not, nor is there any representation that, in fact, accesses do exist to any of the parcels named herein.
9. The Deed of Conveyance from the Township to the successful buyer may contain any of the following restrictions, as may be applicable:
(a) This property shall not be utilized for any purpose which is tax exempt from municipal property taxes unless the owner thereof shall pay an equivalent amount to the Township of Old Bridge, which it would otherwise pay as municipal property taxes if the said use of the property was not tax exempt (municipal, school, county, fire district, etc. taxes). This payment in lieu of taxes shall be paid wholly to the Township of Old Bridge, and shall be a condition upon the sale and a restriction as to the use of the property which shall run with the land.
(b) This property shall be utilized solely as open space.
(c) No improvements may be built on the property.
(d) Any future sale of the property shall be subject to the restrictions enumerated herein.
(e) The Township of Old Bridge shall have the right of first refusal should the property be put up for sale.
The Township Clerk shall make known the specific restrictions set forth in this Section in the advertisement and invitation to bid and shall comply with the statute's direction to receive bids under “Option A and Option B” as provided in N.J.S.A. 40A:12-13. The Township of Old Bridge reserves the right to elect either or both options and the highest bid of each. Such acceptance or rejection shall be made not later than the second regular meeting of the governing body following the sale.
SECTION 5: AUTHORIZATION TO EXECUTE DOCUMENTS
The Township Attorney, Mayor and Township Clerk are hereby authorized and directed to execute and deliver any document necessary to effectuate the subject conveyance.
SECTION 6: INCONSISTENT ORDINANCES
All ordinances or parts of ordinances inconsistent with or in conflict with this ordinance are hereby repealed to the extent of such inconsistency.

Councilman Calogera: Do these properties have the restriction mentioned in Section 4.9 placed on them automatically?
Attorney Convery: No. This is an ordinance to list the properties, any restrictions which may apply to a particular lot, would be indicated in the advertisement. The ordinance is an attempt to indicate that there may be conditions on the sale. The conditions do not apply to the whole list. The properties where there will be conditions, will be clearly indicated when the property is listed.
Councilman Calogera: If we sell properties, they can be built on for residential homes.
Attorney Convery: That is not a blanket statement either way. It will depend on the particular property.
Councilman Calogera: Can we legally earmark the monies that will be derived from these properties to go into our open space trust fund? I believe this was on the ballot a few years ago.
Attorney Convery: Unless I am provided with additional information, the answer is no. If you have conflicting information, I will research that. As of right now I do not know of a restriction that states it must go into an open space trust fund.
Mayor Phillips: There was a no-binding referendum, the history is that several years ago the housing authority purchased property from the town for $600,000.00 and people thought that the next time property was purchased from the town, the money should go into open space. This was a non-binding referendum and it was never followed, some instances are the old town hall on Route 9 which was sold for $450,000.00 and the money was incorporated into last year's budget. Any money that we are able to gather from the sale of this land, I intend to use for property tax relief – this will go into the general revenue fund. Several things have happened since the passing of this referendum, one is that we have now ended litigation and it now going to cost us $17,000,000.00 to buy 200 acres of land. I firmly believe that some of this land will attract a good price and which I intend to incorporate into the budget, my best guess as to what the properties will fetch.
Councilman Calogera: I know that it is all of our wishes that if we had more money in the open space trust fund, we would have been better able to deal with the problem that we face with Cedar Ridge. As time goes on, property is getting more expensive and we need some kind of mechanism to purchase property. I think that the open space trust fund was something that was put up politically by our party and this is your opportunity to more forward on our stance regarding anti-development.
Mayor Phillips: I stand second to none in my pursuit in the preservation of open space, my record is clear. We did pass an open space referendum, but I have to balance the needs of this community as I see them. You will have an opportunity, as a councilperson, at budget time to move money around. It is my intention to use the funds from these sales for property tax relief. We already have a funding mechanism that goes into a dedicated fund. I anticipate that I am going to have to use that money for debt service. This idea, that we could put all the money into to an open space preservation fund, never envisioned us losing litigation in the amount of $17,000,000.00.
Councilman Calogera: If the money was put into the open space trust fund, could it be used to pay for Cedar Ridge?
Mayor Phillips: Yes, but that would be a sham.
Councilman Calogera: Why?
Mayor Phillips: I could say that I will put the money in the open space trust fund and then use that to pay debt service. That is a form of political chicanery that I don't deal in and I don't think that you do either.
Councilman Calogera: I don't, but at least I know that, that way it would be earmarked strictly for open space properties and could not be used in our general fund.
Mayor Phillips: I am using the general fund for property tax relief. This town is growing and we know that the school budget has been passed and is going to place a 9 cent increase in taxes. I am trying with the municipal budget to hold the line as best as I can. This mechanism of using surplus land is one that has been used before. We used this before when the Housing Authority bought land and also when the old town hall was sold, these were one time revenue opportunities that the council used to fill last years budget. I am trying to find all the other revenue opportunities that I can for property tax relief.
Councilman Testino: I would like to make sure that no other agencies in town had asked for any of these properties.
Mayor Phillips: The packets went out over two weeks ago and we tried to get as much input as possible on these parcels. It may be that some agency will express interest and you may wish to remove it. This list is not all the properties that the township has. We have since found out that one of the lots may be on the open space inventory and may have to be removed.
Councilman Testino: I notice that there is nothing contiguous to our other significant open space parcels.
Mayor Phillips: I do not believe that there are any parcels that are attached to any significant land areas. These are properties that came to the township by way of people not paying their taxes. All these properties are properties that I deem as a way of putting properties back on the tax rolls and perhaps providing individual housing. Some of these properties are in the Genoa area and some of the reasons that these properties are now becoming viable is because of the anticipation of water and sewer.
Councilwoman Panos: I knocked on the doors of some of these neighborhoods and none of the people were notified. I know that you are trying to make money for the town, but we are selling off open space. There is one parcel that is next to a park and there are some properties on this list that are on fresh water wetlands. This reminds me of what happened in Edison. Also, these are listed as “under-sized” or encouraged to be sub-divided. How could you do that? You ran on a platform of no development and so far the only resources that you have come up with is to sell township properties for housing. It seems that your tax relief comes by the way of residential housing development. This may give some relief this year but ten years down the road we will be sorry.
Mayor Phillips: If you would take more than a cursory look at the list, you will see that these are single lots, odd lots. The implication that this is some how balancing the budget on residential development is absurd, the purpose here is to take lots that have fallen to people of Old Bridge and may become sites for illegal dumping and bring them back to the tax rolls. There is nothing there to suggest that these lots will be granted any kind of sub-division. The only idea for the presentation is a matter of full disclosure, the price of the land is not dictated by the fact that it will be receiving some type of approval.
Councilwoman Panos: It says that in the ordinance.
Mayor Phillips: It doesn't say that it will, it says that it has a possibility of. This is a buyer beware situation. All the properties that we have will conform to the zoning of that area. We are offering this land in as an “AS IS” situation. If there are wetlands, people will have to be aware of this – we do not believe that any of these properties on this list would not be buildable. We are by no means trying to balance the budget on the backs of a few lots of land.
Councilwoman Panos: If the lots are under-sized, why doesn't the adjacent homeowner have an opportunity to buy it before they are squished into between two houses.
Attorney Convery: The town does not have to accept any bid. There may be restrictions on certain lots, this would be in conjunction with input from the Township Engineer. Whatever restrictions are placed on these lots will be well known and any bidder will have the information.
Councilman Gillespie: Putting this property up for sale could allow the adjacent homeowner the opportunity to purchase the land and they may want to buffer their property. This is a sound business decision, these properties have been acquired by foreclosure and the tax payers of Old Bridge were carrying these properties as delinquents. This is what smart municipalities. Everyone's taxes are higher because we have to fund a reserve for uncollected.

Attorney Convery: I would request that this be held over because we are still trying to confirm which ordinance is being amended. We are looking at a codification ordinance for fees throughout the town and this is one of the ordinances that would be included. Rose-Marie has indicated that it may make sense to do this fee change when we do the fee change.

WHEREAS, many of our soldiers who thought they were coming home are being held over to continue fighting that war on terrorism; and
WHEREAS, these men and women are in service for our nation and for a worthwhile cause. They are putting their lives on the line to protect us and our freedom and we need to express our gratitude to them by fully supporting them and their actions; and
WHEREAS, we need to stand united and express our unequivocal support for our troops.
